TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE (“TERMS,” “AGREEMENT”) CAREFULLY BEFORE ACCESSING OR USING THE SERVICES PROVIDED BY frogAPI. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND frogAPI. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
1. Definitions
For the purposes of this Agreement, the following definitions shall apply:
- “frogAPI”, “we”, “us”, or “our” refers to frogAPI, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and assigns.
- “User”, “you”, or “your” refers to any individual, entity, or organization that accesses, uses, or interacts with the Services.
- “Services” means the frogAPI website, application programming interface (API), dashboard, documentation, and all related products, tools, features, and functionalities offered by frogAPI.
- “API” means the application programming interface provided by frogAPI for the purpose of enabling Users to access third-party artificial intelligence model inference services.
- “Credits” means the prepaid monetary units applied to a User's account balance that may be used to pay for API usage in accordance with the applicable pricing schedule.
- “Content” means any data, prompts, inputs, outputs, text, code, images, or other materials transmitted through or generated via the Services.
- “Upstream Providers” means the third-party artificial intelligence model providers whose services are accessed through frogAPI, including, without limitation, OpenAI, DeepSeek, Mistral AI, and Meta Platforms, Inc.
2. Eligibility and Account Registration
2.1 Eligibility
You must be at least sixteen (16) years of age, or the age of legal majority in your jurisdiction, whichever is greater, to create an account and use the Services. By creating an account, you represent and warrant that: (a) you meet the minimum age requirement; (b) all information you provide is truthful, accurate, and complete; (c) you will maintain the accuracy of such information; and (d) your use of the Services does not violate any applicable law, regulation, or third-party rights.
2.2 Account Security
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and API key(s). You agree to: (a) immediately notify us of any unauthorized use of your account or API key; (b) not share, transfer, license, or disclose your API key to any third party; and (c) accept full responsibility and liability for all activities occurring under your account, whether or not authorized by you. frogAPI shall not be liable for any loss, damage, or liability arising from your failure to secure your account credentials.
2.3 Account Termination
frogAPI reserves the right to suspend, disable, or permanently terminate your account at any time, with or without notice, for any reason or no reason, including, without limitation, if frogAPI reasonably believes that you have violated these Terms. Upon termination, your right to access and use the Services ceases immediately. Any remaining Credits in your account at the time of termination for cause shall be forfeited and non-refundable.
3. Description of Services
frogAPI operates as an API gateway and proxy infrastructure that routes User requests to Upstream Providers' artificial intelligence model inference endpoints. frogAPI does not independently train, develop, fine-tune, or operate artificial intelligence models. The quality, accuracy, reliability, and availability of AI model outputs are entirely dependent on the Upstream Providers and are subject to their respective terms, conditions, and service level agreements.
frogAPI provides the Services on an “as is” and “as available” basis. We make no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any AI model outputs generated through the Services. Users acknowledge that AI-generated outputs may contain errors, inaccuracies, biases, or objectionable content, and Users are solely responsible for evaluating and using such outputs at their own risk.
4. Pricing, Billing, and Credits
4.1 Credit System
API usage is billed on a pre-paid credit basis. Users must maintain a sufficient credit balance to make API requests. Credits are denominated in United States Dollars (USD). When you purchase Credits, the corresponding amount is added to your account balance. API usage charges are deducted from your balance in real-time based on the applicable per-token pricing for the model used, as published on the frogAPI Pricing page.
4.2 Promotional Credits
frogAPI may, at its sole discretion, offer promotional credits, bonuses, or matching programs (e.g., “2× Credit Matching”). Promotional credits: (a) are non-refundable and non-transferable; (b) have no cash value; (c) may be subject to additional terms, conditions, expiration dates, or usage restrictions; and (d) may be modified, reduced, or discontinued by frogAPI at any time without prior notice and without liability.
4.3 Pricing Changes
frogAPI reserves the right to modify pricing at any time. Changes to pricing will be posted on the Services and will take effect immediately upon posting unless otherwise stated. Continued use of the Services following any pricing change constitutes acceptance of the new pricing. Where a price increase is material, we will use commercially reasonable efforts to provide advance notice.
4.4 Taxes
All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for all applicable taxes, levies, duties, or similar governmental assessments of any nature, including but not limited to value-added, sales, use, or withholding taxes, assessable by any jurisdiction.
5. Acceptable Use Policy
You agree not to use the Services to:
- Violate any applicable federal, state, local, or international law, statute, regulation, or ordinance.
- Infringe upon the intellectual property rights, proprietary rights, or privacy rights of any third party.
- Generate, distribute, or facilitate the creation of content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Generate, distribute, or facilitate the creation of child sexual abuse material (CSAM) or any content depicting or promoting the exploitation or abuse of minors.
- Develop, deploy, or operate weapons, surveillance systems, or other applications designed to cause physical harm to persons.
- Engage in any form of automated scraping, data mining, or harvesting of frogAPI systems, except through the intended API endpoints and within applicable rate limits.
- Attempt to gain unauthorized access to frogAPI systems, networks, or infrastructure, or the accounts, credentials, or data of other Users.
- Interfere with or disrupt the integrity, security, or performance of the Services, including through denial-of-service attacks, malware, or similar activities.
- Resell, redistribute, sublicense, or otherwise commercially exploit the Services or API access without prior written authorization from frogAPI.
- Circumvent, disable, or otherwise interfere with rate limiting, authentication, access controls, or other security or protective measures of the Services.
- Use the Services in a manner that impersonates any person or entity, or falsely states or misrepresents your affiliation with any person or entity.
- Use the Services to generate spam, deceptive communications, or misleading content at scale.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, forfeiture of Credits, and legal action. frogAPI reserves the right to investigate suspected violations and cooperate with law enforcement authorities in prosecuting Users who are involved in illegal activities.
6. Intellectual Property
6.1 frogAPI Property
All rights, title, and interest in and to the Services, including, without limitation, the website, API, documentation, trademarks, service marks, logos, trade names, trade dress, source code, object code, software, databases, and all other intellectual property rights therein, are and shall remain the exclusive property of frogAPI and its licensors. These Terms grant you no right, title, or interest in any frogAPI intellectual property other than the limited license expressly granted herein.
6.2 User Content
You retain ownership of all Content you submit to the Services (e.g., prompts and inputs). By submitting Content, you grant frogAPI a limited, non-exclusive, worldwide, royalty-free license to transmit, route, and process such Content solely for the purpose of providing the Services. frogAPI does not log, store, or retain the content of your prompts or model responses, as more fully described in our Privacy Policy.
6.3 AI-Generated Outputs
The ownership, intellectual property status, and legal treatment of AI-generated outputs may vary by jurisdiction. frogAPI makes no representations or warranties regarding the intellectual property status of outputs generated through the Services. You assume all risk and responsibility for your use of AI-generated outputs, including compliance with applicable intellectual property laws.
7. Disclaimer of Warranties
IMPORTANT
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, frogAPI DOES NOT WARRANT THAT: (a) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR VIRUS-FREE; (b) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE; (c) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (d) ANY ERRORS IN THE SERVICES WILL BE CORRECTED; OR (e) THE UPSTREAM PROVIDERS WILL CONTINUE TO MAKE THEIR MODELS AVAILABLE THROUGH frogAPI.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. frogAPI SHALL NOT BE LIABLE FOR ANY DOWNTIME, OUTAGE, OR UNAVAILABILITY OF THE SERVICES, OR FOR ANY ACTIONS, OMISSIONS, OR PERFORMANCE OF UPSTREAM PROVIDERS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL frogAPI, ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
- Your access to, use of, or inability to access or use the Services;
- Any conduct, content, or output of any third party in connection with the Services, including Upstream Providers;
- Any AI-generated content obtained through the Services;
- Unauthorized access, use, or alteration of your transmissions, data, or Content;
- Any interruption, suspension, or termination of the Services;
- Any bugs, viruses, or other harmful components transmitted through the Services;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER frogAPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, frogAPI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT PAID BY YOU TO frogAPI DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE REMEDIES UNDER THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, frogAPI'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless frogAPI and its affiliates, subsidiaries, officers, directors, employees, agents, licensors, suppliers, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, suits, actions, proceedings, losses, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your use or misuse of the Services;
- Your violation of these Terms, any applicable law, regulation, or third-party rights;
- Your Content or the use thereof;
- Any use of AI-generated outputs by you or on your behalf;
- Your negligent or wrongful conduct;
- Any dispute between you and any third party arising from your use of the Services.
frogAPI reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you shall cooperate fully with frogAPI in asserting any available defenses.
10. Dispute Resolution and Arbitration
10.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting us at ch@vnsh.in. Both parties agree to negotiate in good faith for a period of not less than sixty (60) calendar days from the date of the initial written notice of the dispute.
10.2 Binding Arbitration
If the dispute is not resolved through informal negotiation, you agree that any remaining dispute, claim, or controversy will be resolved through final and binding arbitration, rather than in court. The arbitration shall be administered under the rules of a recognized arbitration institution and conducted in the English language. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
10.3 Class Action Waiver
YOU AND frogAPI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND frogAPI AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
10.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, copyrights, trademarks, trade secrets, or confidential information.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which frogAPI is established, without regard to its conflict of law principles. You irrevocably consent to the exclusive jurisdiction and venue of the courts in said jurisdiction for any action or proceeding permitted to be brought in court hereunder.
12. Modifications to Terms
frogAPI reserves the right, in its sole and absolute discretion, to modify, amend, supplement, or replace these Terms at any time. Any material changes will be posted on the Services with an updated “Last Updated” date. Where required by applicable law, we will provide advance notice of material changes via email or through a prominent notice on the Services. Your continued use of the Services following such modifications constitutes your binding acceptance of and agreement to the modified Terms. If you do not agree to any modification, your sole and exclusive remedy is to discontinue use of the Services and terminate your account.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions of these Terms shall continue in full force and effect. The invalidity or unenforceability of any provision in any particular jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction.
14. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and frogAPI regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, agreements, and understandings, whether oral or written, between you and frogAPI. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of frogAPI. No failure or delay by frogAPI in exercising any right or remedy shall operate as a waiver thereof.
15. Force Majeure
frogAPI shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond frogAPI's reasonable control, including, but not limited to, acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, government actions or orders, labor disputes, strikes, supply chain disruptions, power failures, Internet service disruptions, cyberattacks, acts or omissions of Upstream Providers, or any other force majeure event. During any such force majeure event, frogAPI's obligations shall be suspended without liability for the duration of the event.
